Developer: Diligent Aide (operated by 安庆辛丞商贸有限公司). These Terms govern your use of our website and services.
1. Acceptance
By accessing www.diligentaide.lat or engaging our services, you agree to these Terms. If you disagree, do not use our site or services. These terms form a binding agreement between you and Diligent Aide, operated by 安庆辛丞商贸有限公司. We may modify these terms; continued use after changes indicates acceptance. Specific service engagements may have additional terms in separate agreements.
2. Services
Diligent Aide provides computer systems design, IT integration, cybersecurity, software engineering, data analytics, and technical consulting. Each engagement is governed by a written service agreement specifying scope, deliverables, timeline, and fees. We reserve the right to refuse service for any lawful reason.
3. Website Use
You agree to use our website lawfully. Prohibited conduct includes: transmitting harmful content, unauthorized access attempts, introducing malware, data scraping, service disruption, and impersonation. We may monitor usage and suspend access for violations.
4. Intellectual Property
4.1 Website Content
All content on our website including text, graphics, logos, and code is owned by Diligent Aide or its licensors and is protected by intellectual property laws.
4.2 Deliverables
Upon full payment, deliverable ownership transfers to the client per the service agreement. Diligent Aide retains rights to generalized knowledge and methodologies.
4.3 License
You receive a limited, non-transferable license to view website content for personal or business use. Reproduction or distribution requires our written consent.
5. Confidentiality
We maintain strict confidentiality of client information including business strategies, technical specifications, and financial data. Such information is used solely for service delivery and not disclosed without client consent except as required by law. These obligations survive agreement termination.
6. Disclaimer of Warranties
OUR WEBSITE AND SERVICES ARE PROVIDED AS IS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE SERVICE.
7. Limitation of Liability
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY DOES NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE PRIOR TWELVE MONTHS, OR ONE HUNDRED US DOLLARS, WHICHEVER IS LESS.
8. Indemnification
You agree to indemnify Diligent Aide from claims arising from your violation of these terms, applicable law, or third-party rights. We may assume defense of any such claim.
9. Governing Law
9.1 Law
These terms are governed by the laws of the People's Republic of China.
9.2 Disputes
Disputes shall first be resolved through negotiation. If unresolved within 30 days, disputes submit to binding arbitration in Anqing, Anhui, China.
9.3 Jurisdiction
The parties submit to Anqing courts for enforcement of arbitration awards. Either party may seek injunctive relief to protect intellectual property.
10. General
10.1 Entire Agreement
These terms, with applicable service agreements, constitute the entire agreement.
10.2 Severability
If any provision is unenforceable, the rest remain in effect.
10.3 Waiver
Failure to enforce any provision is not a waiver. Waivers must be in writing.
10.4 Assignment
You may not assign rights without our consent. We may assign in connection with a merger or sale.
10.5 Force Majeure
We are not liable for delays from causes beyond our control.
10.6 Independent Contractor
Nothing creates a partnership or employment relationship.
